Team Lead - Legal and Compliance (M/F/D)

Why VMRay

We are looking for a seasoned and pragmatic general counsel to lead and scale VMRay’s legal and compliance function. The candidate will have expertise in enterprise SaaS contracts under both US and German law, preferably with experience in data protection and IP rights. The role demands someone who thrives in a dynamic and fast-scaling environment, balancing commercial speed with smart risk management.

Your Responsibilities


  • Act as a key legal advisor to the management team
  • Draft, review, and negotiate a wide range of commercial agreements, including SaaS contracts, NDAs, complex partnership agreements and other licensing deals
  • Partner with sales in pro-actively driving contract negotiations towards commercial success with pragmatic risk management
  • Lead risk assessments and compliance frameworks relevant to SaaS cybersecurity business, including but not limited to data privacy and IP protection
  • Support M&A, fundraising, and corporate governance activities
  • Collaborate with external counsel in the US, Germany, and other jurisdictions as needed
  • Develop and maintain internal legal policies, training, and contract templates
  • Mentor the current team of 3 and scale the legal function through process and systems enablement

Our Requirements

  • Bar admission in Germany or in US
  • Several years of legal experience in a team lead or leadership role
  • Proven experience in SaaS, or technology sectors
  • Deep understanding of US and German commercial and data protection laws
  • Strong negotiation and drafting skills in English
  • Experience working in a fast-paced, international environment
