Sr. Paralegal - Remote

We're looking for a Senior Paralegal II to join our lean, high-impact legal team. This role is ideal for someone who thrives on variety, wants ownership over critical functions like equity administration and has a solid background in corporate governance. An interest in legal operations is a bonus. You'll work closely with our attorneys, cross-functional partners, and outside counsel to keep the legal function running smoothly.

Responsibilities:

Stock Administration

  • Administer the company's equity program in Shareworks, including option grants, exercises, and terminations
  • Prepare Board of Directors exhibits for stock option approvals and enter approved grants into Shareworks
  • Coordinate employee stock option exercises with employees and outside counsel to issue stock certificates
  • Generate and distribute equity reports for cross-functional teams (Finance, People, etc.)
  • Serve as the internal subject matter expert on Shareworks functionality

Board & Corporate Governance

  • Support General Counsel with Board meeting preparation, including reviewing minutes and unanimous written consents
  • Prepare exhibits for stock option grant schedules for Board packages
  • Maintain corporate records and entity documentation

Legal Operations & Administration

  • Manage outbound signature workflows for the organization
  • Process and route incoming legal mail and correspondence
  • Handle subpoena intake and coordinate responses
  • Manage employee termination tickets requiring legal action
  • Preparing responses to UCC lien notices and trademark notices
  • Monitor and triage CCPA and privacy alias emails, routing to appropriate teams
  • Assist with NDA review using established playbooks, escalating as needed
  • Support special projects, including company-wide initiatives
  • Paralegal certificate from an ABA-approved program
  • 5+ years of paralegal or legal assistant experience, preferably in-house at a technology or financial services company
  • Hands-on experience with equity administration platforms (Shareworks strongly preferred)
  • Familiarity with corporate governance, board processes, and Delaware corporate law
  • Strong organizational skills and attention to detail
  • Ability to manage multiple workstreams independently and prioritize effectively
  • Comfortable working with attorneys, executives, and cross-functional stakeholders
  • Proficiency with legal technology tools and a willingness to learn new systems
  • Familiarity with contract lifecycle management tools or AI-assisted review workflows

Salary Range: $120,000 - $135,000

In the event that an applicant is given a formal job offer, the Company collects background screening information prior to hiring, including results of the following types of background screening: criminal history; sex offender registration; motor vehicle records; credit history; employment history; drug testing; and educational history. The Company collects this Personal Information to screen for risks to the Company and its clients, and continued suitability for their jobs and to evaluate applicants for promotions.
