Position Overview

We are seeking a highly experienced Senior Corporate Paralegal  to serve as a key pillar of our legal team. As we approach a pivotal phase in our company’s growth, we need a seasoned professional who has "seen it all". With over a decade of experience, you will not only manage day-to-day corporate governance but also play a critical role in IPO readiness, complex M&A transactions, entity administration, and legal team support.

The ideal candidate is a self-starter with a “can-do" attitude — from managing complex subsidiary structures to running closing rooms for M&A. You will have the opportunity to build processes, manage critical infrastructure, and work directly with executive leadership.

What your impact will be…

  1.  Corporate Governance and Global Entity Management
    Subsidiary Maintenance: Manage the lifecycle of domestic and international subsidiaries, including formations, dissolutions, director changes, signatory changes, foreign qualifications, and intercompany agreements.
    Corporate Governance: Draft agendas, resolutions, written consents, and minutes for Board and Committee meetings; maintain minute books and corporate seals.
    Compliance: Coordinate with registered agents and local counsel to ensure timely filing of annual reports, registrations, and other requirements across all jurisdictions. Review current practices and structure and implement any necessary changes to align with best practices.

2. IPO Readiness, Mergers & Acquisitions (M&A) and Strategic Transactions
Due Diligence Leadership: Lead the organization and maintenance of virtual data rooms (VDRs) for financing, audits, and IPO preparation; ensure all material documents and corporate records are complete and retrievable.
Deal Support: Manage the flow of information during mergers, acquisitions, financings, and joint ventures.
Closing and Post-Closing Mechanics: Draft ancillary closing documents, manage signature pages, track closing checklists, and handle closing funds flow logistics. Oversee post-closing integration, including filings, name changes, and merging of entity records.

3. Corporate Team Support 
General Team Support: Provide general support to the legal team including cross functional partnership with other teams. Assist with management of outside counsel, including invoice tracking, review and approvals. 
Regulatory: Assist with Know Your Customer (KYC) and Ultimate Beneficial Ownership (UBO) requests for banking and vendor relationships.
Process Improvement: Identify opportunities to implement technology and other solutions to streamline workflows.

What you will bring…

  • Experience: Minimum of 10+ years of corporate paralegal experience in a top-tier law firm and/or in-house legal department.
  • Education: Bachelor’s degree required; ABA-approved Paralegal Certificate preferred.
  • M&A Expertise: Proven track record of supporting complex corporate transactions from LOI to closing.
  • Technical Skills: Advanced proficiency in Google Workspace and DocuSign. Comfortable with Zoom.
