Responsibilities include but are not limited to:
- Supports the company’s legal approach by identifying issues, coordinating with external counsel, and implementing approved legal guidance;
- Draft, review, and negotiate contracts and third-party agreements with vendors, partners, and customers and provide related risk-mitigation strategies during adoption and execution;
- Collaborate cross-departmentally with Compliance, Finance, Product, Operations and other departments to ensure contracts, policies, and communications are legally compliant and consistent with internal processes and policies;
- Coordinates and manages external legal counsel engagements to support corporate objectives, including issue scoping, review of advice, and implementation of approved guidance;
- Provides legal input and guidance to the CFO and senior leadership, to support informed business decision-making, while escalating complex or high-risk matters appropriately;
- Provides legal input to senior leadership to support informed business decision-making;
- Anticipates and identifies legal issues and counsels officers of the institution and other upper management in order to develop legal strategies and solutions, often in situations of significant business impact, and with limited time for assessing alternatives;
- Reviews, researches, interprets, and prepares both written and oral opinions on a wide variety of legal issues;
- Drafts and reviews internal policies, procedures, and other legal documents, and supports governance documentation, subject to appropriate internal review and approval frameworks;
- Supports the Compliance function by identifying regulatory legal issues and coordinating with external counsel on matters involving financial services regulatory frameworks, including FinCEN, CFPB, Regulation E, and OFAC, without owning compliance program design or regulatory interpretation.
A Successful Senior Corporate Counsel will have the following:

6-8+ years of relevant legal experience, with a focus on corporate, commercial, and/or regulatory matters, preferably within financial services, banking, payments, or fintech environments;
- J.D. from an American Bar Association accredited law school and admission to practice law in at least one U.S. jurisdiction, in good standing;
- Demonstrated ability to successfully manage a large corporate or centralized institutional legal office;

Ability to provide clear, practical legal guidance to senior business leaders, including finance and operations stakeholders, in a fast-paced and evolving environment;

Experience working in or supporting regulated financial services organizations, with a working knowledge of applicable regulatory frameworks (e.g., FinCEN, CFPB, Regulation E, OFAC) sufficient to identify issues, assess risk, and coordinate with Compliance and external counsel;
- Ability to analyze and interpret issues and to prepare legal opinions;
- Knowledge of current and developing legal issues and trends in area of expertise;
- Knowledge and understanding of Company policies and procedures and the regulatory environment within which they operate;

Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements, including vendor, partner, and customer contracts;

Knowledge of legal documentation procedures and requirements.
Pay Range: $200,000.00 - $225,000.00/Yearly;

This role is also eligible to receive equity in the company.
