About the Role

Pagaya is seeking a Senior Commercial Counsel to own and lead the legal structuring, negotiation, and execution of strategic partnerships and complex commercial transactions that drive core revenue growth. This role sits at the center of Pagaya’s product, partnerships, and go-to-market strategy and partners closely with senior leaders across Product, Capital Markets, Risk, Growth, and Technology.

You will act as a primary legal owner for high-impact commercial and partnership deals, advising on product launches, distribution arrangements, marketing initiatives, and asset acquisition and servicing structures. The ideal candidate is a business-minded, deal-oriented lawyer who is comfortable operating autonomously, balancing legal risk with commercial objectives in a fast-moving fintech environment.

This role reports directly to the Chief Legal Officer and is based in New York.

Responsibilities

  • Serve as the lead negotiator and legal owner for complex commercial and strategic partnership agreements, including asset acquisition, servicing, and distribution arrangements.
  • Partner closely with Product and Growth teams to support new product launches, features, and go-to-market initiatives, ensuring compliance with applicable consumer credit and fintech regulations.
  • Structure and negotiate sophisticated partnership models with financial institutions, platforms, and service providers.
  • Advise on marketing and advertising initiatives (including digital and direct mail), providing practical guidance to mitigate legal and regulatory risk while supporting growth.
  • Collaborate cross-functionally with Risk, Compliance, Product, Capital Markets, and Technology to design scalable, compliant programs.
  • Monitor regulatory developments impacting consumer lending and credit products and proactively advise the business on risk and opportunity.
  • Provide clear, pragmatic legal advice to senior business leaders, balancing legal rigor with commercial execution.

Requirements

  • 8+ years of experience at a top law firm and/or in-house, with significant experience negotiating and drafting complex commercial and partnership agreements (candidates with materially more experience are encouraged to apply).
  • Strong background in commercial transactions, strategic partnerships, or product counseling, ideally in fintech, financial services, or a regulated environment.
  • Working knowledge of U.S. consumer credit and lending regulations
  • Demonstrated ability to lead transactions independently, with excellent drafting and negotiation skills.
  • Business-oriented judgment and the ability to deliver practical, actionable legal advice.
  • Comfort working cross-functionally with Product, Growth, Risk, and Compliance teams.
  • Experience advising on marketing and advertising matters is a plus; deep direct-mail specialization is not required.
  • Confidence operating at both the strategic and hands-on level in a dynamic environment.
  • Admission to practice in at least one U.S. jurisdiction (NY preferred).
  • Fluent English (written and spoken).
