If you’re looking for a place where your work shapes the future of how companies operate, join us. Let’s build it together.
At TheyDo, we solve complex challenges with thoughtful, customer-first software. As we scale globally, we’re building legal foundations that enable growth. They enable growth, reduce friction, and help teams move with confidence.
We’re looking for a Legal Counsel with a focus on commercial contracting to help us run and continuously improve our contracting function. You’ll work closely with our business teams and external counsel to support commercial deals, streamline negotiations, and build repeatable processes that scale with TheyDo.
This is a hands-on role. You’ll be close to day-to-day commercial activity and take ownership of defined legal workflows, primarily supporting customer and partner contracts. You’ll also play an active role in improving how legal support is delivered through tooling, process design, and the responsible use of AI.
Commercial Contracting & Negotiation Support
Draft, review, and negotiate a range of customer and partner agreements (including MSAs, DPAs, NDAs, order forms, and related commercial terms).
Support commercial negotiations by advising on risk, proposing pragmatic alternatives, and helping close deals efficiently.
Maintain and improve contract templates, playbooks, and fallback positions to streamline contracting at scale.
Identify recurring contract issues and proactively propose ways to standardize and simplify contracting.
Own day-to-day execution of the internal contracting process, including intake, approvals, tracking, and record keeping.
Maintain our contract registry and ensure contracts are stored and tracked accurately and consistently.
Coordinate with external counsel for specialized legal topics (e.g., jurisdiction-specific issues), ensuring smooth collaboration and high-quality outcomes.
Partner with Sales, Finance, Compliance and Product teams to enable business goals while managing legal risk appropriately.
Work in our core tools and workflows (Slack, Google Workspace, Salesforce, and Gong) to support commercial deal cycles and keep stakeholders aligned.
Deliver periodic enablement sessions and practical trainings to the GTM team (Sales, CS, Partnerships) on contracting best practices, common negotiation points, and how to use templates/playbooks effectively.
Use AI tools and workflow automation to reduce repetitive work and improve turnaround time (e.g., drafting support, clause comparison, summarizing contract changes, creating playbooks and guidance).
Identify bottlenecks in contracting and implement improvements through clearer templates, better playbooks, and streamlined processes.
Learn and adopt new tools quickly to support efficient and scalable legal operations, while ensuring quality, confidentiality, and sound judgment.
Stay up to date with key regulations relevant to a global SaaS business (e.g., privacy/data protection, commercial contracting norms, and general compliance requirements).
Flag emerging risks early and coordinate with internal stakeholders or external advisors to address them proactively.
Required
A law degree (or equivalent legal qualification) and the ability to work on commercial contracts independently, with appropriate supervision where needed.
2–5 years of experience in commercial contracting, either in-house, at a law firm, or a combination of both.
Strong drafting skills and comfort negotiating directly with business stakeholders.
Experience working in a modern, tool-driven environment, including:
Slack, Word Google Docs (or Google Workspace)
Salesforce for deal tracking and contract workflows
A high level of comfort with AI tools for knowledge work—able to use them responsibly to accelerate drafting, analysis, summarization, and process improvement.
Comfortable delivering internal trainings and enablement sessions to non-legal teams, particularly GTM stakeholders, and translating legal concepts into practical guidance.
Strong attention to detail paired with pragmatic judgment and a solution-focused mindset.
Clear, concise communication skills, able to explain legal concepts in plain language and provide actionable recommendations.
Experience in a SaaS or technology company, ideally with B2B contracts.
Familiarity with international contracting (EU and/or US contracting norms; global customers).
Startup or scale-up experience.
Exposure to privacy and data protection terms (e.g., DPAs, security addenda, vendor/security questionnaires).
Experience with contract lifecycle management (CLM) tools or contract repositories.
