As our business continues to grow, we are looking for a Legal Counsel to join our team.

Areas of responsibility:

  • Drafting and reviewing corporate documentation, including board minutes, shareholders’ resolutions, memoranda and articles of association, internal policies, and other corporate records;
  • Preparing and filing statutory corporate documentation with the relevant authorities, including the Malta Business Registry (MBR) and other competent regulatory bodies, while anticipating and managing all procedural requirements necessary for successful filings;
  • Maintaining and updating statutory registers, corporate records, group structure charts, and internal corporate governance and control schedules;
  • Providing legal support in corporate reorganisations, mergers, demergers, acquisitions, and internal restructurings;
  • Managing and overseeing corporate portfolios of domestic and international clients, ensuring ongoing compliance with statutory and regulatory requirements;
  • Drafting, reviewing and negotiating commercial agreements, including Software-as-a-Service (SaaS) agreements, software licensing agreements, vendor and service provider agreements, and related commercial documentation;
  • Supporting the definition and review of vendor scope of services, service level arrangements, and contractual risk allocation;
  • Assisting with KYB/KYC processes, including the review of corporate documentation, identification of beneficial ownership structures, and support for onboarding procedures in line with applicable compliance and regulatory requirements.

Requirements

  • Law degree
  • 2–3 years of experience in Legal Corporate Housekeeping, Corporate Governance, or Commercial Legal work
  • Experience in drafting and reviewing technology and commercial agreements, particularly SaaS and licensing arrangements
  • Familiarity with corporate compliance and client onboarding (KYB/KYC) processes is desirable;
  • Strong technical accuracy, organisational skills, and ability to work autonomously
  • High sense of responsibility and strong client-service orientation
  • Excellent command of English, both written and spoken
