Legal Counsel

Core Responsibilities
Commercial Contracting
Lead drafting, negotiation, and execution of: MSAs and commercial supply agreements
Customer purchase agreements
Vendor and procurement contracts
Manufacturing and services agreements
NDAs and evaluation agreements
Own contract lifecycle management and internal approvals.
Develop fallback language and standardized positions.
Support Operations, Engineering, and Procurement with responsive legal guidance.
Operational & Corporate Support
Maintain corporate records and governance documentation.
Support board materials and financing document coordination.
Assist with employment-related documentation in partnership with external counsel.
Coordinate regulatory filings and compliance documentation where applicable.
IP & Confidentiality Administration
Manage NDA processes at scale.
Coordinate patent prosecution and IP filings with outside counsel.
Maintain internal IP tracking and assignment documentation.
Legal Infrastructure
Build contract playbooks and clause libraries.
Implement and manage contract tracking systems.
Create legal intake workflows and response SLAs.
Reduce outside counsel reliance for recurring matters.
Qualifications
JD and active bar membership.
5–7 years of legal experience (combination of law firm and/or in-house).
Strong commercial contracting experience required.
Experience negotiating complex vendor or supply agreements preferred.
Ability to independently manage negotiations with limited supervision.
Experience supporting venture-backed or scaling companies preferred.
Familiarity with manufacturing, hardware, or regulated industries is a plus.
Profile
Strong executor; comfortable managing volume.
Business-oriented and pragmatic in risk assessment.
Highly organized with process-building capability.
Confident interfacing with cross-functional technical teams.
Understands when to escalate to leadership or external counsel.
Onsite Expectations
While much of the team is in person (given the nature of our business), this is a hybrid or remote role. At minimum, we expect this employee to travel onsite for critical business meetings approximately once per quarter.

Expected Compensation
Base salary is determined based on many factors such as: market rate, candidate experience, interview performance, and geographic location.
