Position Summary

UHN is seeking a results-oriented Corporate/Commercial lawyer to join its Legal Department as a full-time employee. The ideal candidate will have experience in at least one of two sets of areas: (i) commercial contracts, regulatory and governance in the healthcare environment, or (ii) contracts and dispute management in construction, leasing and facilities-related services. The role will likely focus on one area based on candidate strengths and team needs.

Duties

Aligned with the Hospital’s strategic direction, this Legal Counsel will:

  • negotiate and draft commercial contracts, primarily either with integrated care and other clinical teams to support service delivery, collaboration and procurement opportunities, OR with facilities and redevelopment and related clinical teams to support construction, leasing and related services.
  • advise colleagues on operational, legal and reputational matters and anticipate and manage commercial and regulatory options, risks and disputes; coordinate training to staff on legal and regulatory matters; and represent Legal in committee responsibilities.
  • support on health law matters such as substitute decision-making and discharge planning, and other engagement among clinical staff and with other public institutions.
  • assist with efficient contract lifecycle management, and integration of best practices on contracting and legal developments affecting areas related to primary responsibilities.
  • be the first point of contact for Managers, Directors and senior management, and work directly with third party partners, external counsel, government and other stakeholders.
  • establish a regular or as needed cadence of engagement with UHN Legal peers and manager(s) for proactive support and guidance, in particular to collaborate on privacy, digital and AI, IP, research and commercialization, and employment related standards.
  • supervise law students and delegate where necessary to legal professionals assisting the practice group, and perform other responsibilities as assigned and/or requested. 
  • Bachelor’s Degree in Law or recognized equivalent, and member in good standing with the Law Society of Ontario
  • Experience negotiating and drafting commercial agreements in the healthcare environment in support of teams with patient service, quality and business objectives, OR
  • Experience negotiating contracts and dispute resolution with construction contractors and consultants, and with facilities management and leasing matters; and enabling compliance with municipal, occupancy and other regulatory standards 
  • Demonstrated understanding of contractual and operational risk allocation and mitigation, and ability to lead or support on prioritizing and negotiating critical deal, service or regulatory points
  • Knowledge of the role of hospital policies, procedures and protocols, as well as public procurement
  • Proficiency or learning agility related to applicable regulatory context in varied areas of law
  • Excellent verbal and written communication, collaboration and influencing skills; ability to translate complex regulatory standards into material that can be understood by a functionally diverse audience
  • Excellent service, interpersonal and diplomacy skills; strong initiative and delivery on continuous improvement; high integrity and judgment
  • Excellent organizational, time management and problem-solving skills to handle competing and simultaneous priorities with deadline pressure
  • Curiosity and eagerness to learn about and apply new technology
  • Minimum of two years of practical related experience
  • Experience in a regulatory setting strongly preferred
