We are seeking a Corporate Secretary based in Malta to own and lead corporate governance and entity management for our Maltese companies. You will be the primary governance adviser to directors and senior stakeholders, ensure timely and accurate statutory and regulatory compliance, and drive best-in-class board administration and records management in a fast-paced, high-growth environment.
This is a hands-on role that balances strategic guidance with precise execution across multiple entities and deadlines. You will collaborate closely with Legal, Compliance, Finance, Tax, and Operations to ensure governance and corporate law requirements are met end-to-end.
What will I be doing?
Governance & Board Management
Act as Company Secretary for Maltese entities, advising directors and management on governance procedures, statutory duties, and best practices.
Plan, convene, and minute Board and shareholder meetings: prepare agendas, circulate board packs, coordinate signatures and approvals, record decisions, and track action items to completion.
Provide training and guidance to directors and internal teams on governance standards, meeting protocols, and documentation requirements.
Corporate Administration & Documentation
Draft, review, and execute corporate documents, including notices, resolutions, minutes, powers of attorney, share issuances or transfers, capital changes, director/secretary appointments, registered office changes, and amendments to constitutional documents.
Maintain statutory registers and corporate books, ensuring accurate and timely filings with the Malta Business Registry.
Oversee beneficial ownership records and related notifications, ensuring alignment with AML/KYC requirements and internal governance controls.
Entity Lifecycle Management
Lead the full lifecycle of Maltese entities, including incorporations, mergers, re-domiciliations, and liquidations.
Coordinate with internal stakeholders, external counsel, corporate service providers, and notaries throughout all steps of the process.
Manage the entity management repository, ensuring document integrity, version control, and a complete source of truth for governance data.
Regulatory & Compliance Interaction
Liaise with relevant authorities and regulators, including the Malta Business Registry and the MFSA (where applicable), to coordinate filings, submissions, and responses to information requests.
Partner with Compliance and Risk on governance components of regulatory obligations, audits, and control frameworks.
Support remediation of audit findings and contribute to the enhancement of internal governance controls.
Transactional Support
Support corporate transactions and restructurings, including intercompany agreements, financing documentation, and closing deliverables.
Coordinate notarizations, apostilles, and legalizations when needed.
Assist with cross-functional alignment in matters involving Legal, Finance, Tax, and Compliance.
Team Leadership
Supervise and mentor junior team members, reviewing work, setting priorities, and ensuring consistent quality and timely execution.
What skills do I need?
Bachelor’s degree in Law; additional qualifications in governance, company secretarial practice, or corporate law are a plus.
4+ years of experience in corporate governance, company secretarial functions, or corporate legal work—ideally within a multinational or regulated environment.
Strong knowledge of Maltese company law and corporate governance requirements; experience with MFSA-regulated entities is an advantage.
Proven experience preparing and minuting Board meetings, maintaining corporate records, and managing statutory filings.
Excellent written and verbal communication skills with the ability to advise senior stakeholders confidently and clearly.
High attention to detail, strong organizational skills, and the ability to manage multiple deadlines across entities.
Proactive, hands-on mindset with the ability to work independently and collaboratively.
Fluency in English.
