IP Catalogue Acquisition Lawyer (H/F)

TLDR

Manage catalogue acquisition processes with a focus on adherence to legal standards and scalability while providing expert legal advice and maintaining contract templates.

The IP Catalaogue Acquisition Lawyer will be responsible for managing all catalogue acquisition processes within France, with a possible marginal activities in the UK), ensuring efficient and legally sound execution of transactions. The role requires strong expertise in intellectual property (IP) laws and M&A transactions, with a focus on supporting the scalability of the business while ensuring adherence to Group legal standards and best practices.

KEY RESPONISBILITIES

Provide expert legal advice and support throughout all catalogue acquisition processes mainly in France (with possible marginal activities in the UK).

Draft, negotiate, and review all legal documents related to catalogue acquisitions, including:

- Non-binding offers (NBOs)

- Asset Purchase Agreements (APAs) and IP-related representations and warranties

- Ancillary documents and closing documentation

Conduct and oversee legal due diligence processes, independently or in collaboration with external legal advisors, with a strong emphasis on IP and content rights

Support closing and post-closing activities, including warranty claims and M&A-related litigation

Collaborate with Central Legal & Business teams to scale the catalogue acquisition business in France and with possible marginal activities in the UK

Address and discuss (I) any material deviations from existing templates and (ii) potential legal / IP risks and mitigation recommendations, with Central Legal

Develop and maintain local contract templates aligned with local legal requirements to enhance speed, scalability, and cost efficiency while managing risks

Build and maintain up-to-date local legal intelligence on IP law and relevant regulatory developments

Master's degree in Business law with combined expertise in Intellectual Property and M&A

Around 3 years of experience within law firms and/or as in-house counsel, with a proven track record of IP/content rights-related transactions

Strong problem-solving mindset with appetence for corporate law and transactional dynamics

Excellent analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively with diverse stakeholders

Fluency in English (spoken and written) required
