About You

We’re seeking a result-focused, innovative, self-driven, and well-qualified individual to join our talented team as our General Counsel Based out of our Torrington Connecticut location, you will safeguard and enable enterprise growth across BCE and BCE-Holdings by directing global legal strategy, risk management, and governance for both entities; leading an in-house team and outside counsel; standardizing contracts and Intellectual Proerty (IP) protection; overseeing global compliance frameworks; stewarding subsidiary/entity affairs for BCE-H (including service agreements, governance formalities, and related-party controls); and advising the Chair/Board on material legal risks, transactions, and remedies.

In addition, you will:

    • Set global legal strategy aligned to enterprise growth, risk appetite, and values by translating Board priorities into policies, playbooks, and guardrails; defining approval thresholds; sequencing initiatives across regions and entities; and measuring impact via matter, cycle-time, and risk KPIs.
    • Lead and develop an in-house legal team and outside-counsel ecosystem by directing attorneys and paralegals, setting goals and standards, coaching and reviews, selecting panel firms and alternative legal services, and enforcing fee arrangements and service levels.
    • Direct corporate governance and entity management across BCE and BCE-H by coordinating Board/committee agendas and minutes, maintaining subsidiary records and authorizations, ensuring filings and powers of attorney, managing inter-company and related-party approvals, and validating director/officer duties.
    • Standardize global commercial contracting and channel frameworks by issuing templates, clause libraries, and fallback positions for sales, procurement, distribution, OEM, and licensing; defining escalation criteria; and reducing cycle time while strengthening risk posture.
    • Protect and monetize intellectual property across brands, products, and services by setting filing and maintenance strategies, advising on patent-clearance for new products and processes, prioritizing enforcement, managing NDAs and restrictive covenants, and aligning IP roadmaps with business plans.
    • Provide expert legal guidance on global tax strategy by partnering with Finance and executive leadership to optimize the company’s tax position, ensure compliance with evolving tax laws, and support cross-border transactions, M&A, and business structuring. Oversee tax diligence, risk assessment, and integration of tax considerations into strategic planning to drive enterprise value and mitigate exposure.
    • Govern global compliance for bribery, trade, competition, and data privacy by setting clear rules against corruption and improper payments; screening customers, suppliers, and shipments against restricted-party and export rules; preventing anti-competitive practices; protecting personal data and privacy rights; training leaders and teams; running fact-finding when concerns arise; and tracking corrective actions through to verified effectiveness.
    • Lead dispute, investigation, and litigation strategy to optimal business outcomes by triaging claims, setting matter strategy and reserves with Finance, directing eDiscovery, negotiating settlements, and reporting exposure and options to the Chair and Board.
    • Guide strategic transactions, carve-outs/roll-ins, and partnerships by running legal due diligence, negotiating definitive agreements, coordinating regulatory clearances, structuring transitional or shared-services agreements between BCE and BCE-H, and embedding post-close controls into operating rhythms.
    • Strengthen policy, records, and contract-lifecycle control across functions by issuing records-retention and legal-hold standards, deploying CLM workflows/approval gates, auditing adherence, and reporting control health and remediation timelines to leadership.

Requirements

You should have:

  • Juris Doctor (JD) required; active license in a US jurisdiction, with eligibility to practice in principal operating locations
  • Commercial contracting (incl. service, MSAs, and equipment), corporate governance/subsidiary management, IP strategy, disputes/litigation, ABAC, trade controls/sanctions, competition, privacy; contract management and eDiscovery fluency; inter-company and related-party governance
  • Travel up to 30% including international and intercontinental travel
  • 15+ years corporate legal practice
  • 8+ years in-house with multinational scope; experience leading attorneys/paralegals and managing outside counsel across jurisdictions; exposure to chemical engineering businesses and equipment/technology contracting preferred
  • Business-first judgment; concise Board communication; negotiation to closure; policy design and implementation; matter/budget management; cross-cultural influence; change leadership

Salary Range: $236,000 - $340,000

Our company takes employee compensation very seriously and considers several factors when determining total compensation, including, but not limited to, location, market range, skills, knowledge, experience, and abilities. The base salary range represents the low and high ends of our company's salary range for this position. Actual salaries will vary and may be above or below the range. The range listed is just one component of our company's total compensation packages for employees.
