We are looking for an experienced, collaborative paralegal to join Five9's growing legal and compliance team. You will be responsible for managing a wide variety of public company and corporate governance matters, including maintaining corporate records and policies, managing Five9’s sustainability and governance program, and supporting team initiatives and other special projects. The ideal candidate will enjoy multitasking and working in a fast-paced environment, be comfortable working on competing priorities, and be willing to learn new matters.  This role will report initially to the Chief Administrative and Legal Officer who also is the Corporate Secretary, and in the future will report to the new Sr. Director, Corporate and Securities Counsel.  

Key Responsibilities:

  • Assist in the preparation of draft Board and Committee meeting materials and minutes, and maintain the official minute book of the corporation and related entities
  • Assist in drafting agendas, resolutions and secretary’s certificates, obtain requisite signatures, notarize, track and maintain same.
  • Assist in the preparation and filing of SEC documents, including annual and quarterly reports, proxy statements, and Section 16 filings.
  • Support planning and logistics for annual stockholder meetings.
  • Support administration of our insider trading policy, including coordination of internal inquiries on the policy, communications related to trading windows, and coordinating various stock administration matters with the Stock Team, including10b5-1 trading plans.
  • Manage requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.
  • Provide administrative support for documents and activities related to strategic transactions, M&A activity, new entity formations, dissolutions and changes in directors and officers.
  • Oversee from subsidiary compliance, working closely with finance and outside counsel.
  • Track litigation and other disputes, assist in responding to subpoenas and support managing communications with insurers, as needed.
  • Manage sustainability and governance program.
  • Support special projects as needed, including research, organization, and project management, OKR tracking and team budget support.

Requirements:

  • 5+ years corporate paralegal experience at a law firm, in-house legal department, or a combination of both.
  • Organized and detail-oriented, with excellent analytical skills.
  • Must be able to manage numerous projects simultaneously under deadline pressure.
  • Ability to adapt and thrive in a fast-paced environment.
  • Strong written and oral communication skills.
  • Excellent tech skills, including Microsoft Office applications California Notary Public current certification preferred.
  • Ability to work independently with oversight and interact effectively with individuals at all organizational levels, including executives and senior management.
  • Exceptional interpersonal skills, results-driven, highly collaborative and team-oriented.
  • Bachelor’s degree, or paralegal certification preferred.  

 

Work Location: This role is fully remote for candidates who reside outside the 50 mile radius of our San Ramon office.  For candidates who reside within 50 miles of our San Ramon location, this role is Hybrid and would require 3 days a week (M, W, TH) in our San Ramon office.

Additionally, the total compensation package for this position may also include an annual performance bonus, stock, and/or other applicable incentive compensation plans.

The US base salary range for this role is below.
$75,600$210,000 USD
