Job Brief:

We are seeking a highly skilled and experienced Corporate Lawyer to join our dynamic real estate team in the MEA region. In this role, you will play a key part in providing legal advice and transactional support across our real estate and logistics parks operations, with a primary focus on KSA. You will be responsible for providing legal guidance, ensuring compliance with applicable laws and regulations, and supporting corporate governance and risk management initiatives. Bilingual proficiency in Arabic and English is essential.

Your Responsibilities:

  • Commercial Contracts: Draft, review, and negotiate a wide array of commercial agreements, such as service agreements, licensing arrangements, consultancy agreements, Non-Disclosure Agreements (NDAs), and Memoranda of Understanding (MOUs).
  • Transaction Support and Management: Coordinate and manage transactions, including mergers and acquisitions (M&A) and joint ventures, throughout their lifecycle. This involves liaising with internal stakeholders and external counsel, assisting with due diligence processes, structuring transactions, and drafting and negotiating transaction documents like share purchase agreements, asset purchase agreements, shareholders' agreements, and other related documents.
  • Corporate Structuring & Governance: Provide expert advice on corporate restructuring and ensure adherence to regulatory requirements.  
  • Legal advice: Stay up-to-date with changes in laws and regulations that may impact the company's operations, and proactively advise management on potential legal risks and implications. Provide legal advice and support to the company ensuring compliance with applicable laws and regulations.
  • Research: Conduct thorough legal research and provide comprehensive support to the legal team by gathering and initially reviewing regulations pertaining to various areas, including rental laws, corporate governance and compliance, labor laws, and other laws and regulations.
  • Representation: Communicate and negotiate with external parties (regulators, tenants and partners), creating relations of trust
  • Company Secretarial Support: Assist with agreements and documents related to company secretarial functions, such as Powers of Attorney (POAs) and resolutions

Requirements

Your Qualifications:

  • LLB in Law
  • A minimum of 6 years of experience obtained at a leading private practice law firm with a strong corporate department.
  • Solid foundational training in M&A transactions, joint ventures, and commercial contracts.

Your Proficiencies:

  • Excellent knowledge and understanding of corporate law and procedures
  • Proficiency in Arabic and English (Reading and writing)
  • Demonstrated ability to create legal defensive or proactive strategies
  • Outstanding communication & influencing skills
  • Ability to comprehend influences of the external environment of a corporation and business context, and apply judgment accordingly
  • High degree of professional ethics and integrity
  • Sound judgement and ability to analyze and synthesize situations and information
