We are seeking an experienced Corporate Attorney with a strong background in investment, M&A, and corporate governance to support our legal and corporate strategy as we scale. This role will report directly to the VP, Corporate Counsel and will collaborate closely with our executive and business teams, advising on complex corporate transactions and helping us navigate regulatory and compliance requirements (including government/defense). The ideal candidate will have demonstrated expertise in transactional work for tech companies, with experience in fast-paced, high-growth environments.

Responsibilities and Duties

  • Investment Transactions: Oversee and manage the legal aspects of fundraising efforts, including venture capital and private equity investments. Draft, review, and negotiate documents for financing transactions, including shareholder agreements, convertible notes, SAFE agreements, and other funding-related documents.
  • Due Diligence: Coordinate and conduct due diligence for M&A transactions and investments. Work closely with cross-functional teams to ensure that all risks and opportunities are identified, documented, and appropriately managed.
  • Government Contracting: Provide legal support and guidance on matters related to U.S. government and defense contracts, including compliance with the FAR/DFARS, bid processes, and contract negotiation and administration. Collaborate with internal stakeholders to manage risk and ensure adherence to regulatory and contractual requirements.
  • Risk and Compliance Management: Advise on corporate governance, compliance, and regulatory matters impacting investment and acquisition activities, including securities laws and industry-specific regulations.
  • Stakeholder Management: Collaborate with internal and external stakeholders, including investors, partners, and consultants, to align legal strategy with business goals. Act as a strategic business partner, offering actionable legal guidance to our executive and business development teams.
  • Document Management: Ensure the secure and organized management of transaction-related documents, filings, and agreements. Maintain detailed transaction records to facilitate efficient access for audit, reporting, and compliance purposes.
  • Market and Regulatory Insights: Stay up-to-date on market trends, regulatory changes, and legal developments in the tech and M&A space. Proactively advise leadership on relevant legal issues affecting the business and provide strategic recommendations.

Qualifications and Skills

  • 3+ years of experience working with or within technology-focused companies, with prior law-firm experience
  • Juris Doctor or equivalent law degree from an accredited institution; admission to the bar in at least one state is required
  • Strong expertise in M&A, private financing, and corporate governance, with a proven ability to draft, negotiate, and manage complex transactions. 
  • Experience advising on legal matters related to U.S. government contracting, including FAR/DFARS compliance, procurement regulations, and contract risk mitigation
  • Experience with cross-border transactions and navigating multinational regulatory landscapes
  • Excellent analytical and problem-solving skills with a keen ability to assess both risks and opportunities in high-stakes transactions
  • Strong written and verbal communication skills with the ability to translate complex legal concepts into clear, actionable advice for stakeholders
  • Highly organized, able to prioritize effectively and manage multiple projects in a fast-paced environment
  • Demonstrated ability to work cross-functionally and communicate effectively with diverse stakeholders, including executives, external counsel, investors, and partners
