Corporate Administration Officer (m/w/d)

TLDR

Support the Boards of Directors for multiple subsidiaries, managing governance activities and acting as a key contact for directors and legal teams across Northern Europe.

We are looking for a Corporate Administration Officer (m/w/d) to support the Boards of Directors of several group subsidiaries and to assist with key legal entity and governance activities across Northern Europe. The role acts as a central point of contact for directors, the Group Corporate Legal team, and internal and external stakeholders.

 

Possible work locations for this role are Gummersbach or Bratislava.

 

Key Responsibilities

  • Organize, coordinate, and follow up on Board of Directors and board committee meetings for a group of subsidiaries across various legal jurisdictions.
  • Prepare agendas, board packs, and resolution documentation in close collaboration with internal stakeholders
  • Attend (virtual) board meetings and draft clear, accurate minutes and corporate resolutions
  • Provide administrative support across the full legal entity lifecycle (incorporation, ongoing maintenance, annual and other filings, restructurings, liquidations)
  • Act as a central interface between the business, Group Legal, Finance, Tax, and external advisors
  • Maintain statutory registers, corporate records, and legal entity data in entity management systems
  • Support statutory filings, annual corporate requirements, and regulatory submissions
  • Ensure compliance with corporate governance standards, group policies, and local legal requirements
  • Support the implementation and continuous improvement of governance processes and templates
  • Serve as a trusted point of contact for directors and senior stakeholders on governance and entity matters

Your profile:

  • Degree in law (LLB, JD or equivalent) or qualification as a paralegal / corporate governance professional
  • Experience in corporate governance, company secretarial services, or legal entity administration
  • Solid understanding of corporate governance principles and entity lifecycle management
  • Strong organizational skills with the ability to manage multiple entities, priorities and deadlines
  • Excellent written and verbal communication skills in English and German – other European languages are an advantage
  • High attention to detail and discretion when handling confidential information
  • Confident user of Microsoft Office (Word, Excel, Outlook)
  • Experience with legal entity management or board portal tools is a plus
