Position Description: 

The Senior Manager, Contracts & Governance serves as Arlo’s senior-most contractual authority and trusted advisor on FAR, SBA, and contractual governance matters. This role oversees the full contract lifecycle while establishing and enforcing enterprise-level governance, internal controls, and risk management practices. The position supports disciplined execution across FAR/DFARS compliance, SBA 8(a) contracts, Joint Ventures, and Mentor-Protégé Program (MPP) structures, while enabling growth and supporting the company’s long-term transition to full-and-open competition. This role is hands-on, senior, and authoritative, operating with significant autonomy and influence across the enterprise.

Key Responsibilities:

Contract Governance & Internal Controls

  • Establish and maintain enterprise contracts governance standards, including policies, approval authorities, escalation paths, and risk tolerance thresholds.
  • Define and administer contract review processes, delegation of authority matrices, and signature authorities.
  • Ensure consistency and compliance across all contract actions, including prime contracts, subcontracts, Joint Ventures, and MPP entities.
  • Serve as the senior owner of contractual internal controls supporting audit readiness and enterprise risk management. FAR, DFARS & Regulatory Authority
  • Act as Arlo’s primary FAR/DFARS subject matter authority, providing definitive interpretation and guidance. 
  • Ensure compliance with FAR Parts 1–16, 19, 31, 44, 52, DFARS, and applicable agency supplements.
  • Provide governance oversight for contract type selection, pricing structures, and clause applicability.
  • Review and approve deviations, exceptions, and non-standard terms in alignment with governance standards. SBA 8(a), Joint Venture & Mentor-Protégé (MPP) Governance
  • Oversee governance and compliance for SBA 8(a) contracts, including eligibility, performance of work, and reporting obligations. 
  • Govern Joint Venture and MPP contractual structures to ensure alignment with SBA approvals, operating agreements, and workshare requirements.
  • Ensure compliance with FAR 52.219-14, SBA affiliation rules, JV profit distribution, and mentor/protégé responsibilities.
  • Support executive leadership during SBA annual reviews, data calls, and compliance reporting.

Pre-Award & Proposal Governance

  • Lead contractual governance for proposal development, including RFP reviews, compliance matrices, and contractual risk assessments.
  • Establish standards for go/no-go decision support and documentation of contractual and regulatory risk.
  • Ensure proposals align with approved contract types, corporate governance policies, and risk tolerance.

Post-Award Administration & Risk Management

  • Oversee execution of contracts, modifications, options, novations, and closeout activities.
  • Lead negotiations with Contracting Officers and prime contractors within delegated authority.
  • Manage claims, disputes, and protests in coordination with Legal and executive leadership.
  • Ensure governance controls over data rights, intellectual property, and security obligations.

Subcontracts & Supplier Governance

  • Establish governance standards for subcontracting, including flow-downs, make/buy decisions, and workshare compliance.
  • Ensure subcontract execution aligns with FAR 52.244-2, SBA requirements, and JV agreements.
  • Oversee supplier risk management, performance monitoring, and corrective action efforts.
  • Audit Readiness & Enterprise Risk Management

Responsibilities and/or Success Factors:

  • FAR and DFARS interpretations are consistent, well-documented, and defensible, resulting in minimal audit findings and corrective actions. SBA 8(a), Joint Venture, and Mentor-Protégé Program structures remain fully compliant, with no eligibility, workshare, affiliation, or profit-distribution findings.
  • Contractual and regulatory risks are identified early, clearly articulated, and mitigated prior to award or during execution.
  • Proposals demonstrate strong contractual compliance, clear risk positioning, and alignment with approved contract types and governance standards.
  • Contract files, approvals, and records are complete, accurate, and audit-ready at all times, with governance workflows consistently followed.
  • Audits and reviews (DCAA, DCMA, SBA, agency customers) are supported with organized documentation, timely responses, and minimal disruption to operations.
  • Subcontracting and supplier arrangements comply with FAR, SBA, and JV requirements, including proper flow-downs and performance-of-work tracking.
  • Governance standards are applied consistently across prime contracts, subcontracts, Joint Ventures, and MPP entities.
  • Contract modifications, negotiations, and closeout actions are executed efficiently and within delegated authority. 
  • Contracts policies, SOPs, templates, and training materials are current, practical, and actively used by the organization.
  • The Contracts function operates as a trusted business partner, enabling growth while protecting the company from regulatory, financial, and performance risk.
  • Executive leadership receives clear, actionable guidance on contractual, regulatory, and governance matters to support informed decision-making.

Minimum Qualifications Including Certificates:

  • Bachelor’s degree required.

  • A minimum of ten (10) years of progressive experience in government contracting.

Desired Qualifications:

  • Contract certification through NCMA Government contract experience with an 8(a)
