Trainee Company Secretarial Assistant

To support the Company Secretariat team in delivering high quality corporate governance compliance and administration. This varied role, reporting to the Senior Assistant Company Secretary, will involve assisting the Company Secretariat team in the provision of a wide range of company secretarial matters and compliance services across the Group portfolio of companies.

The Secretariat is a small team of four generalists, each working across a number of areas to help ensure that the Group’s businesses are compliant with best practice and local statutory requirements.

Key Duties and Responsibilities

● Assist in the provision of a full company secretarial service to the Group’s UK subsidiaries, such as drafting director and shareholder minutes, filing accounts, liaising with the Group’s auditors and finance teams, preparation of documents for Companies House.

● Prepare and submit forms (electronically and in hard copy) to the Registrar of Companies.

● Assist in the maintenance of the company records of the Group’s subsidiary companies on Diligent Entities.

● Maintain and produce the Group Structure Chart.

● Assist with the preparation of and research for reports to the PLC Board and Committees, and the distribution of agendas and meeting papers for executive committees.

● Support the production of the annual report and Form 20-F, and assist with the interim and year end results process, including management of the verification process.

● Assist in the production of LSE and NYSE announcements.

● Assist in the preparation for the Annual General Meeting.

● Assist in the maintenance of confidential and insider project lists and processes.

● Support the team with ad hoc projects including corporate restructurings, incorporations, strike offs and liquidations as required.

● Respond to company secretarial/corporate governance information requests from other departments, shareholders and external third parties.

Requirements

● Experience of working in another large company and within a confidential environment would be an advantage, but is not essential.

● Excellent written/verbal communication skills.

● Good computer skills; proficient in Microsoft Word and Excel, and ideally Google Workplace.

● Highly organised with a ‘can-do’ approach with ability to work to deadlines and under pressure from competing priorities.

● Excellent attention to detail, flexible and dependable, with the ability to take the initiative.

● Able to work well as a team member and build rapport and trust with internal and external stakeholders.

● Must possess a high level of integrity, discretion and professionalism.

Qualifications

This role offers an excellent opportunity for entry into a company secretarial career with the potential for the right candidate to undertake the Chartered Governance Qualifying Programme to become a Chartered Secretary or Chartered Governance Professional. The CGI exams would be undertaken whilst working in a varied and fast-paced FTSE40 environment, supported by a generalist team of award-winning Company Secretaries. While no existing company secretarial experience is required, the right candidate must be able to demonstrate the necessary transferable skills, and would ideally have a demonstrated interest in pursuing a career in governance.
