IO’s Transaction Services and Corporate Legal Enterprise Team provides professional support to all parts of the agency. Lawyers within the team specialize in services that support infrastructure and commercial projects, construction, real estate and leasing, lending, privacy protection, government affairs, litigation, and contract management.

Job Purpose:

IO’s legal department supports all of IO’s projects and corporate functions, including in infrastructure, technology, construction, real estate, lending, privacy protection, government affairs, litigation and contract management.

We are seeking a Senior Legal Counsel to provide legal and commercial advice on technology and outsourcing matters, including on novel and transformational projects that will change the way that government services are delivered in Ontario.  

While we are primarily seeking to hire a Senior Legal Counsel, we also encourage applications from all candidates who may be  aligned to the selection criteria for a Legal Counsel role.  

What You Will Do:

  • Work with industry leaders in finance, technology, healthcare, insurance and transportation to create public-private sector partnerships.
  • Provide advice to our clients to mitigate risk while achieving commercial objectives.
  • Draft and negotiate complex contracts and other legal documents, including IT outsourcing agreements, software as a service agreements, licensing agreements, master services agreements, and statements of work.
  • Conduct legal research and analysis on a changing legal landscape for technology and privacy law impacting IO and its partners.
  • Ensure compliance with Infrastructure Ontario’s governance requirements, internal policies and legislative and regulatory requirements.
  • Manage and direct external counsel.
  • Contribute to a high performing team and collaborate with colleagues to support department initiatives.
  • Assume other legal duties as assigned.

Who We're Looking For:

  • A law degree (LL.B. or J.D.).
  • Membership in good standing with the Law Society of Ontario.
  • Preferably six years of experience practicing law in a law firm and/or in-house legal department.
  • Experience in leading complex commercial transactions, including digital transformation and technology.
  • Strong drafting and negotiation skills.
  • Contribute to the development of internal process improvements and deliver training to different areas of IO. 
  • Public procurement, technology and privacy law experience is an asset.
  • Excellent communication and interpersonal skills.
  • Ability to work on multiple files in a fast-paced environment with changing priorities.
