About your role

Reporting to the General Counsel of Harrison-AI, as Senior Legal Counsel you will be an integral member of the team and hold responsibility for delivering commercial and impactful legal support across the organisation. You will also assist with company secretarial tasks for business subsidiaries in a number of different jurisdictions. 
 
Your role will see you collaborate and build strong relationships across a wide range of internal and external stakeholders. Through joining our exciting, agile and fast-growing company – you will be given the autonomy and rare opportunity to truly make your mark on our commercial legal operations, helping us to establish ourselves in Australia and globally with a strong client base.  
 
With our growth plan becoming more sophisticated through new product launches across worldwide target markets, with scale comes new problems and new challenges to solve. You will play a vital role in helping us to achieve our goal of scaling medical predictions globally to improve patient outcomes and make a positive impact for the world. 

What you'll do:

  • Draft and negotiate contractual arrangements including commercial SaaS sales, distribution, marketing, clinical research and service agreements, business associate agreements and end-user licence agreements; 
  • Assist with data protection and privacy matters, including GDPR and HIPAA compliance; 
  • Assist with overall corporate governance and policy responsibilities, including company secretarial tasks for offshore subsidiaries; and
  • Support commercial teams as they sell, market, distribute and support our products and services globally (with the support of internal and external cross jurisdictional legal support)

About you:

  • Legally qualified in NSW with extensive PQE experience of minimum 8 years, primarily with (software) commercial contracts;  
  • Demonstrated ability to draft complex commercial agreements, including SaaS sales, marketing, multi-channel distribution, service, clinical research agreements and license agreements; 
  • Demonstrated ability in data compliance matters, with an essential grasp of GDPR and US compliance obligations; 
  • Familiarity with competition law matters related to sales, distribution, and marketing; 
  • Previous work experience as a Company Secretary or an assistant Company Secretary; 
  • Solid experience in contract negotiation; 
  • Good judgment and problem-solving skills, as well as being comfortable advising and working with senior and executive management; and 
  • Outstanding interpersonal, presentation, analytical, communication and negotiation skills, with ability to develop constructive working relationships with all stakeholders. 

Nice to have skills (but not essential):

  • Demonstrated experience in commercial contracts in the health software industry; 
  • Admission in England & Wales or NY / California a plus; 
  • Experience in negotiating data and IP rights would be considered an advantage; and 
  • Background in negotiating sales agreements.
