Senior Director, Associate General Counsel

Location: New York / McLean (Remote)

Exiger is hiring a Senior Director, Associate General Counsel to act as a corporate generalist with an emphasis on government contract support. This role will work with the Head of Legal on a variety of corporate and compliance matters.

What You’ll Do:

  • Maintain for various legal tasks, primarily consisting of reviewing, drafting, and negotiating government and commercial contracts.
  • Review and improve standard form agreements and legal processes, primarily for Exiger’s government business.
  • Assist with requests for proposal and partnership agreements, and generally support our business development efforts.
  • Support with M&A, including transactional due diligence.
  • Research and advise on relevant regulatory and compliance issues.
  • Assist with intellectual property matters.



What To Bring:

  • Must have strong knowledge of government contracting process, including knowledge of FAR.
  • Prior experience supporting M&A, including responding to due diligence..
  • Extreme attention to detail.
  • Ability to become a business partner to internal clients.
  • Ability to think strategically.
  • Ability to spot, analyze and advise on the proper handling of legal issues.
  • Excellent verbal and written communication skills.
  • Ability to work under tight deadlines and multitask as necessary.
  • Must be able to timely respond to pressing legal requests from internal business partners.
  • A strong academic record.


What You’ll Need:

  • Law degree and admission to any State Bar
  • 7+ years of legal experience, including 3+ years of legal experience working with government contracts.
  • A mixture of in-house experience and law firm experience is preferred, although Exiger will consider candidates with relevant law firm experience.
  • Demonstrable experience reviewing, drafting, and negotiating government contracts.
  • Compliance program experience preferred.
  • Experience supporting M&A, investment and other corporate transactions preferred.
  • Solid entity maintenance and other basic corporate experience, including drafting resolutions, updating minute books, etc.
