Registered Funds Legal Counsel

The Registered Funds Legal Counsel will be pivotal in supporting the registered funds business, providing legal advice and consultation on a variety of legal, regulatory and compliance issues relating to the structuring, launch and distribution of registered funds (tender offer funds & interval funds). The hired individual will provide ongoing product support and related regulatory reform and asset management services.  

As our successful candidate, you will have exceptional analytical, written and verbal communication and strong relationship-building skills. The position requires robust interaction with regulatory bodies, ensuring compliance and overseeing the transition of funds from general partnership to registered funds. You will manage all aspects related to the funds' legal framework, collaborate with external counsel, and ensure operational and reporting standards are met. You have proven experience in helping alternative asset managers translate private markets investments into perpetual capital vehicles that can reach a broader range of investors.  

Responsibilities 

  • Lead the structuring and launch of multiple registered funds, with a focus on interval and tender offer funds.
  • Oversee regulatory compliance, fund maintenance, and reporting.
  • Assist with compliance pre- and post-trade monitoring for interval fund transactions.
  • Collaborate with external counsel while maintaining an active role in managing internal legal processes.
  • Engage with senior management and key stakeholders to ensure alignment with strategic objectives.
  • Monitor evolving regulations and industry trends and propose policy and/or procedure updates as necessary. 

Qualifications 

  • Minimum of 3 years PQE either in house, or at a top-tier law firm, with substantial involvement in launching and managing registered funds.
  • Experience in U.S. federal securities laws, asset management, and U.S. registered funds and related regulatory issues are required.
  • Experience launching and maintaining registered funds.
  • Proven track record in managing the legal aspects of interval and tender offer funds, with substantial knowledge of the 1940 Act.
  • Strong understanding of relevant securities rules and regulations, including the Investment Company Act, the Investment Advisers Act, Securities Act, and Securities Exchange Act.
  • Familiarity with alternative investment vehicles.
  • JD from an accredited law school, and admission to the bar.
  • Proven ability to navigate complex legal frameworks and regulatory environments.
  • Deep desire to develop expertise in new or unfamiliar areas of law.
  • Experience with technology platforms and broker-dealer regulations is encouraged but not required.

CAIS’ compensation package includes a market competitive salary, a performance bonus, and exceptional benefits. If you are located in New York, New York, the base salary range for this role is $185,000 - $230,000. Actual compensation is influenced by a wide array of factors including but not limited to skill set, level of experience, and specific office location.
