Position Summary & Responsibilities:

We are seeking a motivated and detail-oriented Legal Intern to join our team and support the company’s Mergers & Acquisitions (M&A) and Business Development activities. This internship offers hands-on experience in a dynamic corporate environment, providing the opportunity to work closely with legal and business professionals on high-impact projects. As a Legal Intern, you will contribute to due diligence efforts, process improvement, and transaction reviews, while also supporting other adjacent areas, such as compliance, corporate governance, and risk management, as needed.
  • Due Diligence Support:
    • Assist in reviewing contracts, corporate records, and other legal documents for M&A transactions.
    • Identify potential risks and summarize findings for internal stakeholders.
  • Transaction Review:
    • Draft, review, and edit NDAs, term sheets, and ancillary deal documents under supervision.
    • Help coordinate closing processes, including maintaining transaction checklists and organizing documentation.
  • Process Mapping and Improvement:
    • Analyze and document workflows related to M&A and business development.
    • Suggest process enhancements to improve efficiency and compliance.
  •  Legal Research and Analysis:
    • Conduct legal research on corporate governance, regulatory compliance, and industry-specific issues.
    • Provide summaries and updates on relevant legal developments.
  • Cross-Functional Collaboration:
    • Work with the legal, finance, and corporate development teams to support deal execution.
    • Participate in meetings with external counsel, consultants, and other stakeholders.
    • Support Adjacent Areas as Needed:
  • Assist in compliance, corporate governance, or other legal projects as they arise.
    • Provide general support to the legal team in addressing emerging priorities.

Education, Skills, & Experience:

  • Currently pursuing a J.D. or L.L.M. from an accredited law school.
    • Coursework or prior internship experience in corporate law, M&A, or related fields is preferred
  • Interest in corporate law, M&A, or business development.
  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint); familiarity with legal research tools (e.g., Westlaw, LexisNexis) is a plus.
  • Strong analytical, organizational, and communication skills.
  • High attention to detail and ability to handle sensitive information with discretion.
