Position Summary & Responsibilities:
We are seeking a motivated and detail-oriented Legal Intern to join our team and support the company’s Mergers & Acquisitions (M&A) and Business Development activities. This internship offers hands-on experience in a dynamic corporate environment, providing the opportunity to work closely with legal and business professionals on high-impact projects. As a Legal Intern, you will contribute to due diligence efforts, process improvement, and transaction reviews, while also supporting other adjacent areas, such as compliance, corporate governance, and risk management, as needed.

Due Diligence Support:
- Assist in reviewing contracts, corporate records, and other legal documents for M&A transactions.
- Identify potential risks and summarize findings for internal stakeholders.

Transaction Review:
- Draft, review, and edit NDAs, term sheets, and ancillary deal documents under supervision.
- Help coordinate closing processes, including maintaining transaction checklists and organizing documentation.

Process Mapping and Improvement:
- Analyze and document workflows related to M&A and business development.
- Suggest process enhancements to improve efficiency and compliance.

Legal Research and Analysis:
- Conduct legal research on corporate governance, regulatory compliance, and industry-specific issues.
- Provide summaries and updates on relevant legal developments.

Cross-Functional Collaboration:
- Work with the legal, finance, and corporate development teams to support deal execution.
- Participate in meetings with external counsel, consultants, and other stakeholders.
- Support Adjacent Areas as Needed:

Assist in compliance, corporate governance, or other legal projects as they arise.
- Provide general support to the legal team in addressing emerging priorities.
Education, Skills, & Experience:

Currently pursuing a J.D. or L.L.M. from an accredited law school.
- Coursework or prior internship experience in corporate law, M&A, or related fields is preferred
- Interest in corporate law, M&A, or business development.
- Proficient in Microsoft Office Suite (Word, Excel, PowerPoint); familiarity with legal research tools (e.g., Westlaw, LexisNexis) is a plus.
- Strong analytical, organizational, and communication skills.
- High attention to detail and ability to handle sensitive information with discretion.
