Docebo is looking for a Legal Counsel - EMEA  to join the team. This position will be responsible for orchestrating end-to-end management of the negotiation process of customer contracts inclusive of partnering and supporting Sales team, partnership team, procurement team and customers globally and providing legal advice on contractual and business issues.

Reports To: Associate General Counsel 
Location: Paris, France (Hybrid) or Biassono, Italy (Hybrid)

Responsibilities:

  • Partner with other members of the Legal team and the Sales, Deal Desk, partnership, finance and other teams to advise on legal matters and aid with contract drafting and negotiating.
  • Become a trusted advisor for key stakeholders.
  • Manage the negotiation process adhering to corporate standards and protocol including but not limited to; negotiating Master Service Agreements, vendor agreements, NDAs and other customer contracts, supporting Sales in contract negotiations and managing the continuous enhancement of customer contract workflow.
  • Facilitates the preparation, negotiation and execution of contractual agreements. Drafts legal terms, including new templates and amendments to template wording. Conducts forensic reviews of client contracts to assess and minimize business risks, ensures alignment and consistency to Docebo’s standards, procedures and service provisions for driving revenue, and proactively negotiates client requests.
  • Collaborates with sales teams and customers,  conveys complex legal and business issues, champions / chairs meetings as necessary throughout the negotiation process to gain understanding of potential risks, and assists with deal-closing. Advises Sales teams on customer contracts, product compliance, sales, disputes and terminations and other legal inquiries.
  • Maintains records of contract activity for benchmark purposes, drafts and reinforces processes to improve overall contract administration efficiencies and champions compliance and accuracy of content with stakeholders to ensure the integrity of all contracts.
  • Coordinate training and awareness activities with all key stakeholders (internal and external) to ensure contractual agreements in place are clear, fair and legally binding.
  • Supports the RFP Team in responding to tender requests and reviewing third party contracts to win new customers and business.
  • Handle other responsibilities and duties, as may be assigned from time to time

Requirements:

  • Law degree from an accredited law school 
  • 3-7 years of experience practicing as a lawyer, preferably in a SaaS company.
  • Admitted to practice law in either France or Italy. Must be fluent in french.
  • Experience working effectively cross-functionally and building strong relationships with business partners across an organization.
  • Provide business practical advice in a timely, efficient manner with an emphasis on appropriately balancing compliance, risk and business goals
  • Come with a positive, “can do” attitude and be highly responsive, detailed-oriented (with the ability to see the bigger picture)
  • Relevant commercial transaction experience, including drafting, negotiating and closing software and SaaS subscription and other technology agreements, data privacy and information security terms, compliance issues and professional services agreements (including SOWs).
  • Working knowledge and expertise drafting or working with RFP responses, tender and sales documents is required.
  • Excellent communication skills: written and verbal negotiation skills, organization abilities and proven attention to detail.
  • Ability to solve problems creatively and demonstrate high integrity.
  • Working knowledge of GDPR and other privacy laws is an asset.
  • Advanced communication skills to understand stakeholder queries, disseminate information, policies or processes. Strong collaborator who can readily adapt to differing needs and priorities.
  • Advanced project management skills with strong organization and time management skills. Self-directed, results-oriented, able to work independently under extremely tight deadlines.
  • Ability to prioritize and manage multiple projects simultaneously within a fast-paced dynamic environment.
  • Basic knowledge of Salesforce or other CRM software is preferred. Working knowledge of MS Office Suite is required, including Word, Excel and PowerPoint.
