Law Clerk – Corporate Legal (12-month contract)

At Infrastructure Ontario (IO), a Crown agency of the Province of Ontario, we work to build, finance and enhance the value of Ontario’s vital public assets.  We execute hundreds of local, regional and provincial infrastructure projects throughout Ontario each year. We manage, preserve and maintain a portfolio of thousands of provincial assets in a strategic way that optimizes the value of that portfolio. And we develop commercial solutions for government that protect the public interest and maximize the value of provincial investments.
 
As part of this work, IO’s Infrastructure Lending business line has helped support the renewal of public sector infrastructure by delivering affordable long-term loans to eligible public sector clients.  These loans have been used to revitalize roads and bridges, build new recreation centres and affordable housing units, and purchase equipment like fire trucks and energy-efficient streetlights. 
 
The Corporate Legal group, a branch of IO’s Legal Services team, provides strategic direction and legal support to IO’s Infrastructure Lending team. 
 
In this role, you will work closely with the Director, Legal Services, Senior Legal Counsel and Legal Counsel of the Corporate Legal group to provide transactional support and operational assistance to the Infrastructure Lending team to support the execution of municipal and secured lending transactions. 

What You Will Do:

  • Using templates, prepare or review various legal documents required for loan transactions, including financing agreements, municipal bylaws, corporate resolutions and certificates, security agreements, closing documentation, amending agreements, and ensure their compliance within the requirements of Infrastructure Ontario’s lending program and applicable legislation.
  • Manage transactions or other projects such as loan closing by creating and maintaining closing agendas, liaising with members of the Infrastructure Lending team to ensure that all requirements under Infrastructure Ontario’s loan authorization have been met, and liaising with borrowers’ counsel to coordinate the execution and delivery of loan documentation.
  • Coordinate due diligence searches, analyze information gathered, and prepare summaries to assist and support Legal Counsel with transaction due diligence.
  • Coordinate and prepare documentation required to retain external counsel, and manage the procurement process, to ensure the appropriate application of Infrastructure Ontario’s procurement policy, standards, and processes.
  • Manage the team’s workflow tracking system and ensure the accuracy and currency of information contained within the system.
  • Work on numerous lending matters in a fast-paced environment with changing priorities.

Who We're Looking For:

  • A Law Clerk diploma/certificate or equivalent.
  • Meticulous attention to detail.
  • Excellent written and verbal communication skills.
  • Ability to work pro-actively and independently with limited supervision in core responsibilities.
  • Strong interpersonal skills and the ability to build and maintain positive working relationships in a team-based environment.
  • Proficiency with the Microsoft Office suite.
  • Experience with secured lending transactions.
  • Familiarity with legal and secured transaction terminology and practices, the business practices and processes of a law office, and/or municipal government processes and operations.
  • Experience coordinating, analyzing, and summarizing the due diligence searches necessary for a secured loan transaction and familiarity with public records portals such as eCore.
