The Role

As the Head of Internal Audit at GeoComply, you will be responsible for setting the overall strategic direction of the department, playing a crucial role as we prepare the company for an initial public offering (IPO), by ensuring readiness in terms of financial reporting, internal controls, and compliance with regulatory requirements.

Reporting directly to the Chief Financial Officer, you will build a world-class internal audit function, lead enterprise risk management, and work closely with stakeholders across the organization to identify and mitigate risks, improve operational processes, and uphold compliance standards. You will serve as the strategist responsible for transforming GeoComply into a SOX-ready organization. 

Key Responsibilities

  • Develop and execute a comprehensive internal audit plan and ICFR program aligned with the company's objectives, risk profile, and regulatory requirements in preparation for the Company’s prospectus filing.
  • Implement and enhance Enterprise Risk Management (ERM) practices, including the identification, assessment, monitoring, and mitigation of enterprise-wide risks.
  • Select and manage third-party vendors to assist in the ICFR programs.
  • Develop and implement a comprehensive SOX compliance program, including policies, procedures, and control frameworks, aligned with regulatory requirements and industry best practices.
  • Collaborate with key stakeholders, including finance, legal, IT, and business unit leaders, to identify, assess, and mitigate risks related to financial reporting and internal controls.
  • Plan and execute risk-based testing of key controls and processes to evaluate their design and operating effectiveness, documenting findings and recommending and executing remediation actions.
  • Partner with process owners to implement control enhancements, process improvements, and automation initiatives to streamline compliance efforts and enhance operational efficiency.
  • Prepare and present regular updates on SOX compliance activities, findings, and remediation status to senior management and our Board of Directors.
  • Evaluate the effectiveness of internal controls, governance processes, and risk management practices across various functional areas, including finance, operations, IT, and compliance.
  • Perform thorough and objective audits of business processes, financial records, and operational activities to identify deficiencies, irregularities, and opportunities for improvement.
  • Stay abreast of industry trends, regulatory changes, and best practices in internal auditing, and proactively incorporate relevant updates into the internal audit processes.
  • Collaborate with external auditors, regulatory agencies, and other stakeholders as needed to facilitate external audits and regulatory inspections.
  • Champion a culture of ethics, integrity, and compliance throughout the organization by providing guidance, training, and support on internal control matters.

Who You Are

  • Bachelor's degree in Accounting, Finance, or a related field.
  • 10+ years of progressive experience in internal audit in industry and/or Big 4.
  • Expertise in the COSO framework, risk assessment methodologies, and audit techniques.
  • Has an advanced degree or professional certification (one or more of the following, for example, CPA, CIA, CISA).
  • Experience in implementing and enhancing Enterprise Risk Management (ERM) practices.

Bonus Points

  • Have led a company’s ICFR program through S1 filing with the SEC.
  • Excellent analytical skills with the ability to assess complex business processes and identify areas for improvement.
  • Exceptional communication and interpersonal skills, with the ability to effectively interact with stakeholders at all levels of the organization.
  • Proven leadership experience, with the ability to inspire and motivate a team to achieve departmental goals and objectives.
  • Sound judgment, integrity, and ethical decision-making skills.
  • Proficiency in audit software, data analytics tools, and Microsoft Office Suite.
