The Corporate Paralegal/Contract Specialist will play a pivotal role in supporting the Legal Department with contract negotiation and management, policy development and implementation, and overall legal department support. This hybrid role requires a highly organized professional with strong attention to detail and the ability to handle multiple priorities. No two days will be the same within this role, and you'll have the autonomy to build and own stronger processes to support our legal team. What You'll Do:
- Contract Management:
- Draft, review, and negotiate a variety of contracts, including NDAs and third-party vendor agreements.
- Maintain the company’s centralized contract repository.
- Monitor key contract deadlines and milestones, ensuring timely renewals, amendments, and notifications.
- Collaborate with internal stakeholders to address contractual needs and execute contract obligations.
- Maintain and update contract templates, administer contract policies, and oversee compliance with contract review processes.
- Transactional Support:
- Assist in the preparation, review, and management of legal documents related to corporate transactions such as mergers, acquisitions, and financings.
- Coordinate due diligence processes, including gathering necessary documentation and organizing information for corporate transactions.
- Prepare and manage closing checklists, ensuring the smooth execution of legal agreements and other related documentation.
- Legal Operations & Research:
- Support the development and implementation of corporate policies and procedures related to legal compliance.
- Conduct legal research on statutes, case law, and other legal issues, providing summaries and insights to the legal team.
- Support process improvements to enhance the efficiency of the legal department, implementing new workflows and legal technologies.
- Assist with managing the legal department’s budget, including tracking legal expenses and optimizing resource allocation.
What You Bring With You:
- Bachelor’s degree, and/or certification in paralegal studies is a plus, or relevant legal administrative experience.
- Minimum of 5-7 years’ experience as a paralegal or contract administrator, ideally within a corporate legal department or law firm.
- Experience with US legal system.
- Knowledge of legal terminology, contract management processes, and corporate governance requirements.
- Proficiency in using contract management databases and legal research tools.
- Strong organizational skills with the ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
- Excellent written and verbal communication skills, with a strong emphasis on accuracy and confidentiality.
- An appetite for enhancing our "ways of working", skilled at streamlining process and creating more efficient workflows.
- Strong attention to detail and the ability to produce accurate work.
- Ability to work independently with guidance from attorneys and senior legal professionals.
- Experience in managing contract databases and generating reports.
- Proven ability to manage multiple projects with competing deadlines.
- Ability to exercise sound judgment and maintain confidentiality in all legal matters.
