Reporting to the VP, General Counsel & Secretary, TAI, the Corporate Counsel, TAI will provide legal support and strategic advice on diverse U.S. legal matters, including supporting mine operations, development projects, and various exploration projects and legacy properties. The person hired will need to have a legal background in one or more of the following areas:
corporate/commercial generalist, employment law, environmental permitting, and compliance within the mining industry, and/or litigation.
This person will also need be ready and willing to assist in a variety of legal matters involving site procurement, development, land use, permitting, regulatory and compliance, safety, employment, government relations, general corporate matters, litigation management, etc. The Corporate Counsel will be one of two total attorneys handling all U.S. legal matters, so this person must be well organized and have an ability to work independently across multiple complex projects. The position is required to be in the office located in Spokane, Washington at least 3 days per week.
The wage scale for this job is $113,000 to $146,000 commensurate with experience and qualifications.
This Teck American Incorporated (TAI) full-time, regular position provides the employee (and their eligible dependents) a comprehensive flexible benefits package that includes medical, dental, vision, and basic life insurance. The employee is also covered by Long Term Disability insurance and is able to enroll in our company’s 401k plan. In this position, the employee will accrue a minimum of 10 days of vacation leave and 12 paid sick days (1 per month) throughout the calendar year. There are ten paid holidays per year.
Responsibilities:
- Be a courageous safety leader, adhere to and sponsor safety and environmental rules and procedures.
- Provide legal support in the substantive areas of contracts, employment, environmental, government relations, safety, land management, sales, corporate governance, compliance, and litigation management.
- Draft, review, negotiate and advise on a wide variety of contracts, including complex and high value contracts, adopting a pragmatic and risk-based approach to contracting.
- Providing sound legal advice for Teck’s Environmental portfolio on land assets management, permitting and regulatory work.
- Collaborating with corporate counsel and contract administrators in Canada on M&A activity.
- Interacting with Canadian and US exploration teams to assist with and provide guidance on environmental regulations and permitting on federal and Indigenous / Native American land.
- Support governance under and implementation of Teck’s complex operating agreement with an Alaska Native corporation.
- Assist in handling corporate governance for all U.S. companies.
- Assist in managing use of outside counsel on various litigation matters.
- Assist in managing customs and trade compliance.
- Foster positive relationships across Teck’s global Legal team and business units to ensure cross-functional collaboration.
- Provide additional legal support for TAI’s business needs as needed.
Qualifications:
- J.D. from an accredited law school
- Member of a state bar in good standing
- Must become a licensed member of the Washington State Bar
- 4-8 years of experience as a practicing attorney
- Good working knowledge in at least one of the following areas: commercial law, corporate law, employment law, environmental law within the mining industry, and/or litigation
- Sound legal and commercial judgement
- Excellent written and oral communications skills, including the ability to communicate concisely with clients and to provide balanced advice regarding risks
- Self-motivated with a strong work ethic and integrity
- Ability to align with business objectives within established legal framework
- Strong negotiation skills
- Ability to work with little supervision
- Ability to get along well with others and foster relationships with clients and colleagues at all levels within the organization
- Ability to solve problems creatively and skillfully negotiate complex agreements, all while inspiring trust and facilitating collaboration with colleagues and clients
- Strategic, adaptable, and versatile
- Exposure to the resources industry is a plus
