Who we're looking for:
We are seeking a highly skilled and detail-oriented Contract Manager to join our team. The Contract Manager will be responsible for overseeing the commercial contract lifecycle – from deal initiation, to drafting and negotiation, to execution and ongoing compliance. This role requires a thorough understanding of commercial contracts, deal cadence, and supporting a sales organization, as well as strong communication and analytical skills and the ability to manage multiple contracts simultaneously.
What you'll be doing:
Contract Drafting and Negotiation:
• Draft, review, and negotiate commercial contracts (e.g., MSAs, Reseller Agreements, Order Forms, NDAs) to ensure compliance with company policies and legal requirements.
• Collaborate with internal stakeholders to understand contract requirements and business objectives.
• Ensure all contractual terms are clear, concise, and enforceable.
• Work closely with both commercial lawyers and the commercial sales team to effectively manage the contract process and close deals.
• Prepare playbooks and other guidance resources to assist the commercial sales team with the contract process.
Contract Management:
• Oversee the entire contract lifecycle, including creation, review, approval, execution, and archiving.
• Maintain an organized and up-to-date repository of all contracts and related documents.
• Monitor contract performance and compliance, ensuring all parties meet their contractual obligations.
• Utilize contract management technology to track contracts during the negotiation process and maintain archives of completed contracts.
Risk Management:
• Identify potential risks and issues in contracts and propose mitigation strategies.
• Ensure compliance with regulatory requirements and Legal playbooks.
• Conduct regular audits of contracts and related processes to identify areas for improvement.
Relationship Management:
• Serve as a primary point of contact for all contract-related inquiries.
• Build and maintain strong relationships with internal stakeholders and external partners.
• Facilitate communication and collaboration between all parties involved in the contract process.
Reporting and Analytics:
• Develop and implement contract management metrics and reporting tools.
• Provide regular reports on contract status, performance, and compliance.
• Utilize data and analytics to identify trends and inform decision-making.
What you need to have:
• Bachelor’s degree in Business Administration, Law, or a related field
• Minimum of 5 years of experience in contract management, legal operations, or related roles with a primary emphasis on contract drafting, review and negotiation.
• Experience independently drafting, negotiating and managing the execution of commercial contracts, such as Master Services Agreements, Amendments, Order Forms, Statements of Work and NDAs.
• Excellent negotiation, drafting, and analytical skills.
• Ability to manage multiple contracts at the same time and work under tight deadlines.
• Proficiency with contract management software (e.g.,Ironclad), Google Docs and Microsoft Office Suite.
• Strong attention to detail and organizational skills.
• Strong communication and interpersonal skills.
We'd love to see:
• Experience directly supporting a commercial sales organization is preferred.
• Experience in the healthcare or tech sector is preferred.
• Experience with Ironclad is preferred.
