Job description Contracts and Advisory

Position/Designation Associate Director - Contracts and Advisory
Location Bangalore
Reporting Director - Contracts and Advisory
Direct Reports 2/3 Direct reports

KEY AREAS:

a) Keep abreast of legislative changes and improve contract versions including for digital
payment solutions (payment aggregation, payment gateway, third party app), e-commerce
marketplace models, tech and commercial contracting.
b) Develop commercial understanding of the businesses and product lines for risk assessment
including what is mandatorily required under various regulations. Evaluate impacts of any new
regulation, anticipate issues and proactively solve for open gaps, eliminate or mitigate risks.
c) Deal with complex matters that cut across legal and compliance especially in regulatory
requirements, especially pertaining to e-commerce marketplace models.
d) New product approvals, research on applicability of law like data protection, new license
regulations (if any) and structure product flows. Solve for questions on applicability and
interpretation.
e) Support business teams in solving for distribution, marketing strategies, product design and
customer purchase flows. Provide expert & strategic legal advice on various aspects of
business including optimising the contracting process, TAT expectations, stamping, e-sign,
repository access etc.
f) Drive high stake and complex contracts including negotiations and contract finalisation.
g) Build an engaged and motivated team with dedicated SPOCs for various product lines. Build a
strong independent first line of SMEs. Delegate work by category, key accounts or
specialisation towards achieving optimisation and right use of resources.
h) Build strong engagement with external firms for research and advisory requirements.
Participate, on need basis, in industry associations, committees and place the company’s
viewpoint on regulatory issues.
i) Overall be ahead of the curve in understanding latest contracting practices.


MIN QUALIFICATION & OTHER REQUIREMENTS:


a) LLB (addl. qualification of LLM will be an advantage).
b) Minimum 13-14 years post-qualification experience in contracting and product advisory. A
right mix of law firm and in-house counsel (start-ups, new age companies) experience is
preferred.
c) Strong drafting, communication and influence building skills with past record of leading teams.
d) Exposure to a variety of contracts – Complex IT/software development, e-commerce
marketplace, payments, real estate to variety of vendor, supplier, employment, service and
partner contracts etc.
e) Committed and ready to work under constraints/ pressure.
f) High degree of professional ethics and integrity, excellent judgement and analytical skills,
good interpersonal skills.
